Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website or services operated by Bourbon & Branch Digital ("us", "we", "our").

1. Agreement to Terms

2.1 Client Content

You retain all rights to any content you submit, post, or display on or through our services. By submitting, posting, or displaying content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content in any media.

2.2 Portfolio Rights

Unless explicitly stated otherwise in a service agreement, we reserve the right to include references to and reasonable representations of projects completed for clients in our portfolio, case studies, and other promotional materials.

3. Services and Deliverables

The specific services and deliverables to be provided will be outlined in a separate service agreement or statement of work. These Terms supplement any such agreement.

3.1 Project Approval

Client approval of designs, texts, plans, and other deliverables is required before proceeding to subsequent project phases. Once approved, any requested changes may result in additional fees and timeline adjustments.

3.2 Revisions and Alterations

We provide a reasonable number of revisions as specified in the service agreement. Additional revisions or changes to the project scope may incur additional fees.

4. Client Responsibilities

To enable us to perform our services, you agree to:

  • Provide accurate and complete information as required for the project

  • Review and provide feedback on deliverables in a timely manner

  • Adhere to agreed-upon timelines for approvals and provision of materials

  • Obtain any necessary permissions or licenses for materials you provide

  • Comply with all applicable laws and regulations

5. Payment Terms

Payment terms will be specified in the service agreement. Unless otherwise stated:

  • A non-refundable deposit may be required before work begins

  • Invoices are due upon receipt

  • Late payments may incur additional fees

  • We reserve the right to pause work on projects with outstanding payments

6. Termination

Either party may terminate the service agreement under the conditions specified therein. Upon termination:

  • You will pay for all services rendered up to the termination date

  • We will deliver all completed materials for which payment has been received

  • Any licenses granted will remain in effect only for deliverables that have been paid for in full

7. Limitation of Liability

In no event shall Bourbon & Branch Digital, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services

  • Any conduct or content of any third party on our services

  • Any content obtained from our services

  • Unauthorized access, use, or alteration of your transmissions or content

8. Disclaimer

Our services are provided "as is," without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Third-Party Services

We may recommend or implement third-party services as part of our deliverables. We are not responsible for the performance, changes, or discontinuation of these services. Use of third-party services may be subject to their own terms and conditions.

10. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation survives the termination of the service agreement.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, terrorism, riots, or war.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. It is your responsibility to review these Terms periodically for changes.
